Our firm represented Grupo Security and its main shareholders in the negotiation of a business combination between Grupo Security and Bicecorp S.A. (‘Bicecorp’). The transaction comprises the acquisition of 100% of the shares of Grupo Security by Bicecorp through a tender offer and subsequent merger between Grupo Security and Bicecorp.

To date, regulatory approvals from the financial and antitrust authorities are pending, as is customary in this type of transaction. At the closing of the transaction, the integration will create a unified conglomerate, positioning itself as a leading player in the Chilean banking and insurance market. B&E is actively advising the Client on various aspects, including the negotiation of the transaction documents, the management of the tender offer stage and the completion of the merger process.
