Barros & Errázuriz Abogados (‘B&E’) advised Vesta Software Group Latam S.A. (the ‘Client’), in the purchase from Inversiones Tandem S.A. (‘ITSA’) and Sociedad de Inversiones Inversoft S.A. (‘SIISA’ and jointly with ITSA, as the ‘Sellers’), of 100% of the shares subscribed and paid by the Sellers in the company Amisfot Ingeniería SpA (hereinafter ‘Amisfot’). (‘SIISA’ and jointly with ITSA, as the ‘Sellers’), of 100% of the shares subscribed and paid by the Sellers in the company Amisfot Ingeniería SpA (hereinafter ‘Amisoft’) and 100% of the shares subscribed and paid by ITSA in Kpitec SpA (hereinafter ‘Kpitec’), leaving the Purchaser as the sole shareholder of Kpitec and Amisoft.

Amisoft and Kpitec develop, market and maintain comprehensive software platforms, called LEXOFT and Erian Doc, designed to enable the electronic processing of (i) judicial and administrative tribunals, courts or other similar entities; (ii) non-contentious voluntary proceedings requiring the intervention of ordinary or special courts, or administrative entities with certain restricted jurisdictional powers; and (iii) arbitration tribunals.

The advice included the negotiation and preparation of the purchase and sale of shares, labour contracts, a co-debt and joint and several bond, the division, capital increase and change of management of Kpitec and Amisoft, transfer of trademarks, and letters of resignation and termination of administrators. Likewise, B&E, advised the Client in obtaining the Foreign Investor’s Tax Identification Number (Rut de Inversionista Extranjero) before the Chilean Tax Service in order to carry out the purchase of the shares.
