Barros & Errázuriz advised Colmena Salud S.A, owner of the Chilean health insurance company Isapre Colmena, in the sale of its medical centers Medicien, which comprises medical consultation offices, a mental health and dental center, laboratories, and sampling, vaccination, imaging, and other procedures units, to UC Christus.

The transaction was executed through the direct sale of 100% of the shares of Colmena Salud and Colmena Holding in Servicios Médicos Medicien S.A., and the indirect sale of 100% of the shares and equity rights in Laboratorio Medicien SpA, Inmobiliaria Medicien Ltda and Laboratorio Medicien Ltda.

The advice involved the preparation and negotiation of a Memorandum of Understanding, a Share Purchase Agreement, a Health Services Agreement between the medical centers owned by UC Christus and the health insurance company Isapre Colmena, and all the necessary documentation to materialize the transaction.
