Barros & Errázuriz assisted Add Skin, a beauty and skin care e-commerce company, in its merger process with Tu Shop, a company that develops e-commerce technology and solutions. The merger plan called for the two companies to exchange their shares into a common holding company. As part of the transaction, SAFE and Tu Shop will also be migrated to the Add Skin holding company.

The role of our department included the structuring of the transaction from a corporate and tax perspective, which is still ongoing, and would also include its implementation in coordination with the lawyer involved.
