Barros & Errázuriz advised Ameris Capital Administradora General de Fondos S.A. on the structuring of the fund Ameris Alternativos II Fondo de Inversión and on the fund´s acquisition of the shares of Penta Vida Compañía de Seguros de Vida S.A. in 13 public investment funds managed by a variety of managers in Chile that serve as feeder funds for foreign funds.

The negotiations included Ameris and Penta Vida, and involved several aspects such as the preparation of the fund formation documents and the vehicles involved, due diligence process for acquired funds, the negotiation and signature of a purchase agreement, and the advisory on regulatory matters in order to allow the fund investment in public funds subject to the CMF surveillance.

Also, the firm advised Ameris Alternativos II Fondo de Inversión in the financing for the acquisition of the shares of Penta Vida Compañía de Seguros de Vida S.A.. The financing included the structuring of a syndicated loan that had as creditors Penta Vida, Banco de Crédito e Inversiones (BCI), and Seguros Vida Security and several guarantees in favor of the creditors, including a non-possessory pledge on money and on the quotas of the public funds that were purchased.
