Barros & Errázuriz advised Grupo Kaufmann in connection with the project being developed by Suministradora de Buses K Uno, a  fully owned subsidiary of Grupo Kaufmann, incorporated for the supply of 82 diesel buses to the Public Transportation System of Santiago, pursuant to  supply contracts entered with the Ministry of Transportation and Telecommunications dated July 20, 2021.

B&E has advised Grupo Kaufmann since the beginning of the Project, including review biding conditions, the preparation of offers, award of the contract by the MTT, execution of agreements with the MTT and bus operators, preparation and negotiation of Project Agreements entered with the different suppliers and service providers.  The advise also included tax, corporate and governance matters, as well as contract management matters. The project also included agreements for the development and financing of the project with CAIO Industrial of Brazil, the company that provides the body of the buses and also financed their acquisition.

In the same project, another B&E team advised Banco Security in the execution of a non-revolving credit facility granted to Suministradora de Buses K Uno. The advisory consisted in structuring and negotiating the facility agreement for an amount destined to the acquisition of a fleet of 82 buses that will be part of the Metropolitan Public Transportation System of Santiago, Chile and the usual guarantees for this type of operations. In addition, B&E played a key role in the negotiation and preparation of the guarantees granted by the Borrower and its shareholders to secure the compliance with its obligations under the financing agreement.
