Barros & Errázuriz advised Osmos, a Mexico-based company which develops payroll solutions, merged with Rankmi, a leading Chilean technology-based company focused on process automation for human resources. Rankmi was founded in 2015 in Santiago, Chile, and has already expanded to Perú, Colombia and Mexico, currently handling more than 1,4 million users. This transaction will help Rankmi to accelerate its expansion into the North-American territory and to integrate Osmos’ know-how and users portfolios.

Additionally, this transaction was materialized in the framework of a financing round carried out by Rankmi, in which important VC investors took part, including Softbank Latin American Fund.

B&E advised Variv Capital, Osmos’ controller, during the due diligence process on Rankmi’s Chilean companies and provided local input for the transaction documents related to the merge, which allowed the due materialization of the transaction.
