Barros & Errázuriz advised CMPC in the formation of a joint venture with GUSCO, its long-standing agent for multiple European markets. The joint venture will provide agency services in Europe for pulp, cardboard and wood products and will be incorporated in Hamburg, Germany, subject to the approval of the corresponding European free competition agencies. CMPC and GUSCO employees will be transferred to the joint venture. The joint venture required an extensive negotiation of the shareholders’ agreement, association agreement and agency contracts, which were led and coordinated by Barros & Errázuriz.
