Advice to Alza SpA in the structuring of a real estate business carried out in conjunction with OpenCasa. The business composes the purchase, sale and commercialization of real estate under the format known as instant buyer, which consists of the rapid sale of real estate without making substantive improvements in them. The advice consisted mainly of structuring the operation in broad terms, including the constitution of the different vehicles through which the business materialized and the negotiation of the transaction documents with OpenCasa and certain investors. Among the main documents is a credit line agreement, certain guarantees associated with it, a shareholders agreement, option contracts and other accessories to the business. Our advice involved the participation of the M&A, Financing and Stock Market groups.
