Advice to Minera Valparaíso on the sale of 71.3% of shares to DP World

Barros y Errázuriz advised Minera Valparaíso, together with its related entities Forestal, Constructora y Comercial del Pacífico Sur S.A., Viecal S.A., Forestal Cominco S.A., Coindustria Limitada, Inmobiliaria Rapel S.A., Inmobiliaria Ñague S.A. and Inmobiliaria Ñanco S.A. on the sale process of their stake in Puertos y Logística S.A., of an approximately 71.3% of all the issued and outstanding shares of Pulogsa.

Pulogsa operates a long-term concession for Puerto Central in San Antonio and owns and operates Puerto Lirquen in Chile’s south. Puerto Central is the major multipurpose terminal in the central area of Chile and leads the vehicle imports and in passengers for tourist’s cruises, along with containers, bulk and fractioned cargo. It is the major port investment made in the history of Chile. It has a 14 million ton capacity and 1,200,000 TEUs. Puerto Lirquén is one of the major multipurpose terminals from the Bio Bio region, in the south of Chile, with a capacity of 7 million tons, mainly forest, bulk and fractions cargo, for projects and containerized cargo.

The operation was structured as a competitive process led by Goldman Sachs and concluded with the decision by sellers to enter into a transaction for 100% of their stake in Pulogsa with DP World Holding UK Ltd., an affiliate of DP World PLC, a listed entity on NASDAQ Dubai and one of the major port operators worldwide.

Signing of the relevant documentation took place in Santiago, Chile and will be followed by a mandatory tender offer (“MTO”) to be launched by DP World for 100% of the shares of Pulogsa once certain consents and waivers are obtained from third parties and authorities.
